What does Coldwater Creek look for when it nominates a new director?
The Nominating Committee has adopted General Criteria for Nomination to the Board, which is available in the Corporate Governance section of this web site.

How do I nominate someone for the Board?
The Nominating Committee considers suggestions from many sources, including stockholders, regarding possible candidates for director. Any such nominations, together with appropriate biographical information, should be submitted to the Chairman of the Nominating Committee, c/o the Corporate Secretary's Office at One Coldwater Creek Drive, Sandpoint, Idaho 83864 in accordance with the Procedure for Consideration of Stockholder Nominations, which are available on the Corporate Governance section of this web site.

The Nominating Committee will consider any proposal properly presented by a stockholder for inclusion in the Company's annual proxy statement. In considering the proposal, the Nominating Committee may seek input from an independent advisor and/or legal counsel, as appropriate, and will reach a conclusion and report to the full Board for its consideration. After consideration by the Board, the stockholder proponent will be notified of the Board's conclusion.

Communications must prominently display the legend “BOARD COMMUNICATION” in order to indicate that it is a communication subject to this policy. All communications will be collected and processed and submitted to the Board or the director to whom the communication is addressed on a periodic basis. Any communication determined in good faith to be frivolous is not required to be forwarded to the Board.

How do I communicate concerns about Coldwater Creek auditing matters or accounting matters?
Employees, vendor representatives, customers, investors and others may report a concern or complaint regarding Coldwater Creek's accounting, internal accounting controls, auditing or Code of Business Conduct by calling the Coldwater Creek Hotline. The Hotline is administered on behalf of the Audit Committee of the Board of Directors by Internal Audit. Coldwater Creek has partnered with EthicsPoint, Inc. to provide completely independent collection of reports of concerns. Hotline calls will be fielded live by their trained professionals available 24x7. Or, they provide a self-entry option via the web to their server. They have gone to great lengths to ensure the confidentiality and anonymity, if desired, of reports entered into the system via either phone or web. Internal Audit is notified of new reports, and they determine who would be most appropriate to investigate and address the concern using sophisticated case management software on EthicsPoint servers. Those administering the Hotline will strive to make sure that all questions or concerns are handled fairly, discreetly and thoroughly.

Will members of the Board of Directors be in attendance at the Company's Annual Stockholder Meetings?
It is the policy of Coldwater Creek that all directors attend the Company's Annual Stockholder Meetings, unless a director is not standing for reelection and his or her term is to expire at the meeting.
