Board Composition / Biographies

Dennis C. Pence co-founded Coldwater Creek in 1984 and has served as a Director since our incorporation in 1988, serving as the Board's Chairman since July 1999 and as our Vice-Chairman prior to that. Since September 26, 2002 as well as from 1984 through December 2000, Mr. Pence has served as our Chief Executive Officer, retiring from that position on October 30, 2007. From June 4, 2002 to September 25, 2002, he provided his executive management services to us. From January 5, 2002 to June 3, 2002, Mr. Pence served as our Interim Chief Financial Officer and Treasurer; he was semi-retired prior to that through all of 2001. Mr. Pence has also served as Chairman of the Board's Executive Committee since its formation on May 20, 2000 and, as Secretary since July 1998. From 1984 through 2000, Mr. Pence also served as our President. From April 1999 to December 2000, he was also the President of our Internet Commerce Division. Prior to cofounding Coldwater Creek, Mr. Pence was employed by Sony Corp. of America, a publicly held manufacturer of audio, video, communication, and information technology products, from 1975 to 1983, where his final position was National Marketing Manager — Consumer Video Products.

Daniel Griesemer has served as a Director, as well as the Company’s President and Chief Executive Officer, since October 31, 2007. From March to October, 2007, Mr. Griesemer served as President and Chief Operating Officer. From January, 2005 to March, 2007, Mr. Griesemer served as Executive Vice President ~ Sales & Marketing. From April, 2004 to January, 2005, Mr. Griesemer served as Executive Vice President of Retail, having joined the company in October 2001 as Senior Vice President and General Manager of Retail. Before coming to Coldwater Creek, he held upper management and executive posts for firms such as Gap, Inc. and Macy’s, Inc. His career spans more than 24 years in the retail apparel industry.

Georgia Shonk-Simmons has served as a Director, as well as the Company’s President, since January 1, 2001. Since September 26, 2002, Ms. Shonk-Simmons has served as the Company’s Chief Merchandising Officer. From January 1, 2001 to September 25, 2002, Ms. Shonk-Simmons served as the Company’s Chief Executive Officer. From April 1999 to December 2000, Ms. Shonk-Simmons served as President of the Company’s Catalog & Retail Sales Division. Ms. Shonk-Simmons joined the Company as its Chief Merchant and Vice President of Merchandising in June 1998. From 1994 to 1998, Ms. Shonk-Simmons was Executive Vice President of the Newport News Catalog Division of Spiegel, Inc., a publicly held international retailer. Prior to that, from 1981 to 1994, Ms. Shonk-Simmons held a number of other positions of increasing responsibility with Spiegel, including Vice-President of Merchandising for Spiegel Catalog beginning in 1991. Prior to joining Spiegel, Ms. Shonk-Simmons held various buyer positions with Lytton’s, Carson Pirie Scott and Hahne’s.

Robert H. McCall, a Certified Public Accountant, has served as a Director since 1994, as Chairman of the Board’s Audit Committee since February 1995, as a member of the Board’s Nominating and Corporate Governance Committee since April 2004, and as a member of the Board’s Compensation Committee since June 2005. Mr. McCall has also served as a member of the Board’s Executive Committee since its formation in May 2000. From February 1995 to July 2000, Mr. McCall also served as a member of the Board’s Compensation Committee. From 1981 until his retirement in November 2006, Mr. McCall was President of McCall & Landwehr, P.A., a certified public accounting firm.

Curt Hecker has served as a Director, as well as a member of the Board’s Audit Committee, since August 1995. Mr. Hecker has also served as Chairman of the Board’s Compensation Committee, as a member of the Board’s Executive Committee since July 2001 and as a member, now Chairman, of the Board’s Nominating & Corporate Governance Committee since April 2004. Since October 1997, Mr. Hecker has served as President, Chief Executive Officer and a Board member of publicly held Intermountain Community Bancorp as well as Chief Executive Officer and a Board member of Panhandle State Bank, Intermountain Community Bancorp’s wholly owned subsidiary. From August 1995 to October 2001, Mr. Hecker also served as President of Panhandle State Bank. Prior to joining Panhandle State Bank, Mr. Hecker held various management positions with West One Bank.

James R. Alexander has served as a director since March 2000, as well as a member of the Board’s Audit Committee since July 2000, as a member of the Board’s Compensation Committee since November 2002, and as the Board’s Compensation Committee Chairman since June 2004. Mr. Alexander has also served as the Board’s Nominating and Corporate Governance Committee Chairman from April 2004 to June 2004 and as a member of that Committee from April 2004 to June 2007. From July 2000 to July 2001, Mr. Alexander also served as a member of the Board’s Compensation Committee. Mr. Alexander had previously served as a director, as well as Chairman of the Board’s Compensation Committee, from 1994 to 1998, before declining to stand for re-election due to other professional obligations. Mr. Alexander has been an independent catalog consultant for over 25 years, serving a variety of mail order retailers of apparel, gifts and home decor. Mr. Alexander is President of Alexander & Co., LLC, a direct marketing and retail consulting firm.

Jerry Gramaglia joined the Board of Directors in June 2004 and currently serves on the Compensation Committee and the Succession Planning & Management Development Committee, as well as serving on the Nominating Committee previously. Mr. Gramaglia, who brings considerable retail and brand-building experience to the Board, began his career in consumer packaged goods with Procter & Gamble and Nestle, and later served as CMO for Imasco and Pepsico restaurants – two of the largest retail chains in the United States. He most recently was a key architect in successfully building a global customer franchise for E*Trade Group, Inc., where he served as President & COO. He currently serves as an Entrepreneur-in-Residence for ArrowPath Venture Capital, where he helps develop the existing portfolio of companies and works to identify promising, new start-ups with potential for achieving market leadership in their respective industries.

Kay Isaacson-Leibowitz joined the Board of Directors in February 2005. Ms. Isaacson-Leibowitz brings significant experience in merchandising, senior management and product development to the Board. Ms. Isaacson-Leibowitz currently serves on the Board’s Compensation Committee and as Chairman of the Succession Planning & Management Development Committee. Her career spanned several years as a senior merchant in department store chains and specialty retailers before she joined Banana Republic as Senior Vice President of Merchandising. More recently, she held the position of Executive Vice President of Merchandising for Victoria's Secret Stores during a period in which sales volume more than doubled and gross margin increased significantly. As a senior executive, she has been responsible for the design and development of successful apparel and accessories lines, as well as brand-building and retail store expansion.

Frank Lesher joined the Board of Directors in February 2007. Mr. Lesher brings more than 30 years of executive experience in legal, government, trade affairs and corporate safety to the Board. Mr. Lesher currently serves on the Board’s Succession Planning & Management Development Committee, as well as the Nominating and Corporate Governance Committee. He was named as general counsel to Sony’s U.S. operations at the age of 35, and subsequently counseled a succession of Sony Electronics management team members during a time when the company’s domestic operations went from 500 employees and approximately $1 billion in sales to more than 11,000 employees and $12 billion in sales. Most recently, he served as Executive Vice President, General Counsel & Secretary of the Board, as well as chairing the corporation’s environmental action, ethics and information privacy and committees, before retiring from Sony in July of 2004.

Michael Potter joined the Board of Directors in June 2007. Mr. Potter has an extensive background in retail management, strategic planning and finance. Mr. Potter retired as Chairman and Chief Executive Officer of Big Lots Incorporated in 2005, after 14 years with the company. During his tenure with Big Lots, the company experienced significant growth from sales of $700 million to over $4 billion. In 2000 at the age of 37, he was named Chairman and CEO, becoming one of the youngest CEO’s in the Fortune 500. Prior to becoming Chairman and CEO, he served as Executive Vice President and Chief Financial Officer, overseeing finance, strategic planning, information technology, distribution, transportation and administration. Prior to Big Lots, Mr. Potter’s retail experience includes The Limited, Inc., May Department Stores and Meier & Frank. Mr. Potter also serves on the Board of Blue Nile Inc., a leading online retailer of certified diamonds and jewelry.


Ann Pence co-founded the Company in 1984, and served as its Executive Creative Director until September 1, 2002 when she retired. Mrs. Pence has served as a Director since the Company’s incorporation in 1988, serving as the Board’s Vice-Chairman since July 1999 and as its Chairman prior to that. Before co-founding Coldwater Creek, Mrs. Pence had an eleven year career in retail advertising, and was employed by Macy's California from 1974 to 1982 where her final position was Copy Director. Dennis Pence and Ann Pence were formerly married to each other. She resigned her Board position in August 2004, and currently holds the non-voting title of Chairman Emeritus in recognition of her role as co-founder and her many contributions to the company.
